Terms of Service

Last updated: October 20, 2026

These Terms of Service ("Terms") are an agreement between you and Yellow Lion Solutions LLC ("Yellow Lion", "we", "us", "our"), a Pennsylvania limited liability company. They govern your use of Yellow Lion Apps, including the Radius Search application for HubSpot, our websites at yellowlionapps.com, and the billing and account tools we provide with them (together, the "Service").

Please read these Terms carefully. They include limits on our liability and a disclaimer about the accuracy of location data.

1. Agreeing to these Terms

You agree to these Terms when you install one of our applications into a HubSpot account, create an account with us, or pay for a plan. If you are agreeing on behalf of a company or other organization, you confirm that you have authority to bind that organization, and "you" means that organization.

If you do not agree to these Terms, do not install or use the Service.

2. Definitions

  • "App" means any Yellow Lion application you install into a HubSpot account, including Radius Search.
  • "Portal" means the HubSpot account into which you install an App.
  • "Customer Data" means the data in your Portal that an App reads or writes on your instruction, including contact and company records and the properties an App adds to them.
  • "Plan" means the subscription tier you have selected, including the free tier.
  • "Geocoded Record" means a contact or company record in your Portal for which an App has stored latitude and longitude values.

3. The HubSpot connection

The Service works with HubSpot. To use it you need your own HubSpot account, which you obtain from HubSpot under HubSpot's own terms. You are responsible for your HubSpot subscription, its cost, and its availability.

Yellow Lion is an independent software provider. We are not affiliated with, endorsed by, or sponsored by HubSpot, Inc. HubSpot is a trademark of HubSpot, Inc., used here only to identify the platform our Apps integrate with.

When you install an App you authorize it through HubSpot's OAuth process and grant it the permissions shown on the authorization screen. You can revoke those permissions at any time by uninstalling the App from your Portal. We depend on HubSpot's APIs, and if HubSpot changes, limits, or withdraws them, features of the Service may change or stop working.

4. Your account, your Portal, and your authority to connect it

You must give accurate information when you sign up and keep it current. You are responsible for everything that happens under your account and for keeping your credentials secure. Tell us promptly if you believe your account has been used without your permission.

By installing an App you confirm that you are authorized to connect that Portal to a third-party application and to allow the App to read and write the records in it. If you are a consultant, agency, or partner installing on behalf of someone else, you confirm you have their permission to do so, and you remain responsible for their use of the Service through that installation.

You must be at least 18 years old and able to enter into a binding contract. The Service is for business use. It is not intended for personal or household purposes.

5. Plans and record limits

Each paid Plan includes a maximum number of Geocoded Records, measured per Portal. The current Plans, their limits, and their prices are published at yellowlionapps.com. Limits apply to the Portal as a whole, not to individual users, and there is no charge per user or seat.

If the number of Geocoded Records in your Portal reaches your Plan limit, we may stop geocoding additional records until you move to a higher Plan or the number of records falls within your limit. We will not delete records that have already been geocoded because you reached a limit.

You can change Plans at any time. An upgrade takes effect immediately, and we will charge the difference for the remainder of your current billing period. A downgrade takes effect at your next renewal.

6. Fees, billing, and renewal

Paid Plans are billed in advance, monthly or annually depending on the Plan you choose, through our payment processor, Stripe. By subscribing you authorize us to charge your payment method for the fees for your Plan, including at each renewal.

Subscriptions renew automatically for successive periods of the same length until cancelled. You can cancel at any time; cancellation takes effect at the end of the period you have already paid for, and you keep access until then.

Fees are non-refundable, and we do not provide refunds or credits for partial periods, unused capacity, or periods in which you did not use the Service, except where the law requires otherwise.

Prices are exclusive of taxes. You are responsible for any sales, use, VAT, GST, or similar taxes on your subscription, other than taxes on our income.

We may change our prices. If we do, we will give you at least 30 days' notice by email or in the App, and the new price will apply from your next renewal. If you do not want to pay the new price, you can cancel before it takes effect.

If a payment fails, we may retry it and will contact you. If an invoice remains unpaid, we may suspend the paid features of your account after giving you notice, and may terminate the subscription if it is not resolved.

7. The free Plan

We offer a free Plan with a limited number of Geocoded Records. It is provided as-is, without any service commitment, and we may change its limits or discontinue it with reasonable notice. Nothing in the free Plan gives rise to a refund, credit, or claim for damages.

8. Enterprise and negotiated agreements

Enterprise pricing is agreed individually. If we sign an order form, statement of work, or separate agreement with you, and it conflicts with these Terms, that document controls for the subject it covers, and these Terms continue to apply to everything else.

9. Acceptable use

You agree not to:

  • use the Service in breach of any law, including data protection, privacy, marketing, and anti-discrimination law;
  • use the Service to process data you do not have the right to process, or to contact people who have asked not to be contacted;
  • extract, export, store, or redistribute coordinates or address data obtained through the Service in order to build or improve a geocoding database, mapping product, or other service that competes with the Service or with our data providers;
  • resell, sublicense, rent, or provide the Service to third parties as a service of your own, except as a partner under a separate written agreement with us;
  • attempt to circumvent Plan limits, rate limits, or billing, including by splitting one organization's records across multiple Portals or accounts to stay within free or lower-tier limits;
  • probe, scan, or test the security of the Service, or interfere with its operation, or attempt to access data belonging to another customer;
  • reverse engineer, decompile, or attempt to derive the source code of the Service, except to the extent the law expressly permits it; or
  • use automated means to access the Service other than through the interfaces we provide.

Decisions about people. The Service produces approximate geographic locations for sales and marketing purposes. It is not designed, tested, or certified for use in decisions about credit, housing, insurance, employment, education, or access to essential services, and you must not use it as a basis for such decisions in any way that unlawfully discriminates against any person or group, including on the basis of a protected characteristic or of the area in which they live.

If you breach this section, we may suspend or terminate your access, with or without notice depending on the seriousness of the breach.

10. Your data and how we process it

Customer Data is yours. We claim no ownership of it. You grant us a non-exclusive, worldwide licence to host, copy, transmit, and process Customer Data only to the extent needed to provide, secure, and support the Service for you, and to meet our legal obligations.

For the personal data in your Portal, you are the controller and we act as your processor, processing it on your instructions. You are responsible for having a lawful basis for that processing, for providing any required notices to the people concerned, and for honouring their rights. We will assist you with those requests as described in our Privacy Policy.

Our Privacy Policy explains what we collect, what we do with it, how long we keep it, and who we share it with. It forms part of these Terms.

We will maintain reasonable technical and organizational measures appropriate to the Service to protect Customer Data against unauthorized access, loss, or disclosure. No service can be completely secure, and we do not guarantee that unauthorized access will never occur.

11. Address and coordinate reference cache

To keep the Service fast and to limit what we send to our geocoding provider, we maintain a reference cache that maps a one-way cryptographic fingerprint of a postal address to the coordinates for that address. The address text itself is not stored. Cache entries are shared across all customers of the Service and are not linked to any Portal, record, person, or account.

You agree that we may create, retain, and use these entries indefinitely, including after your subscription ends, and may use them to serve other customers. A cache entry contains that fingerprint, the coordinates, and an indication of match quality. It does not contain the address text, names, email addresses, phone numbers, record identifiers, Portal identifiers, or any other information that identifies a person or a customer. Our Privacy Policy describes the cache in more detail.

We may also create and use aggregated and statistical information about how the Service is used, in a form that does not identify you, your Portal, or any individual, to operate, secure, and improve the Service.

12. Third-party services we rely on

We use a small number of third parties to run the Service, including HubSpot for the platform itself, Geocodio for geocoding, Stripe for payments, and an email provider for transactional messages. These providers process data only as needed to perform their function, and they are listed with more detail in our Privacy Policy. We are responsible for our use of them, but we are not responsible for their own products, websites, or terms.

13. Support and availability

Support is provided in English by email and through the support form at yellowlionapps.com/support. We aim to respond to paid-Plan requests within one business day, and to free-Plan requests as capacity allows. Business days are Monday to Friday, excluding United States federal holidays.

We work to keep the Service available, but we do not commit to a particular level of uptime unless we have agreed one with you in writing. We may take the Service offline for maintenance, and will try to do so outside United States business hours and to give notice where we reasonably can. The Service also depends on HubSpot and on the third parties listed above, and we are not responsible for their outages.

14. Our intellectual property, and your feedback

The Service, including the Apps, our websites, our documentation, and everything in them other than Customer Data, belongs to us or to our licensors, and is protected by intellectual property law. We grant you a limited, non-exclusive, non-transferable, revocable right to use the Service during your subscription, for your own business purposes, in accordance with these Terms. We reserve all rights we do not expressly grant.

You may not use our names, logos, or branding without our written permission, except to state factually that you use the Service.

If you send us feedback, ideas, or suggestions, you grant us an unrestricted, perpetual, royalty-free right to use them without any obligation or payment to you. We will not identify you as the source without your permission.

15. Confidentiality

Each of us may receive information from the other that is marked confidential or that a reasonable person would understand to be confidential. Each of us will use the other's confidential information only to perform under these Terms, will protect it with at least reasonable care, and will not disclose it to anyone other than employees, contractors, and advisers who need it and are bound by similar obligations. This does not apply to information that is public through no fault of the recipient, that the recipient already had or develops independently, or that the recipient must disclose by law, provided it gives notice where it is permitted to do so.

16. Term, suspension, and termination

These Terms start when you first accept them and continue while you have an account or an App installed.

You may stop using the Service at any time. To end a paid subscription, cancel it from your billing portal or ask us to cancel it. Uninstalling an App from HubSpot stops the App's access to your Portal, but it does not by itself cancel your subscription or stop future charges. Cancel the subscription as well if you want billing to stop.

We may suspend or terminate your access, in whole or in part, if you materially breach these Terms and do not fix it within 10 days of our notice; immediately, if your use threatens the security, integrity, or availability of the Service or of another customer's data, or if we are required to by law; or if your account remains unpaid as described in section 6. We may also discontinue the Service as a whole on 60 days' notice, and will refund any fees you have paid for a period after it ends.

17. What happens to your data when you stop

The properties, lists, and other records an App has written into your Portal stay in your Portal. They are yours, and it is up to you whether to keep or delete them. We cannot remove them once our access has been revoked.

On our side, we will delete or anonymize the Customer Data we hold within 30 days of termination, other than: records we must keep for legal, tax, or accounting reasons; our security and audit logs, which we keep for their normal retention period; and entries in the address and coordinate reference cache described in section 11, which contain no customer or personal identifiers. If you need an export before you go, ask us before you cancel.

18. Accuracy of location data

Geocoding is an estimate. Coordinates are derived from the address text in your records and from third-party reference data, and they can be wrong, approximate, out of date, or placed at a street, block, or postal-code centroid rather than at a specific building. Radius results depend on those coordinates and on the quality of the addresses in your Portal, and may therefore include records that are outside the radius you searched, or omit records that are inside it.

You are responsible for checking results before you rely on them. The Service must not be used for emergency response, navigation, dispatch, or any other purpose where an inaccurate location could cause injury, loss of life, or significant financial or legal harm.

19. Warranties and disclaimers

We will provide the Service with reasonable skill and care. Beyond that, and to the fullest extent the law allows, the Service is provided "as is" and "as available", and we disclaim all other warranties, whether express, implied, or statutory, including any implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, and any warranty arising from course of dealing or usage of trade.

We do not warrant that the Service will be uninterrupted, error-free, or secure, that defects will be corrected, that it will meet your requirements, or that any result or location it produces will be accurate or complete.

Some jurisdictions do not allow the exclusion of certain warranties. In those places, the exclusions above apply only to the extent permitted.

20. Limitation of liability

To the fullest extent the law allows, neither party is liable to the other for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost revenue, lost business, lost goodwill, or lost or corrupted data, even if it was warned they were possible.

To the fullest extent the law allows, our total liability arising out of or relating to these Terms or the Service, whether in contract, tort, or otherwise, will not exceed the greater of (a) the total fees you paid us for the Service in the 12 months immediately before the event giving rise to the claim, or (b) one hundred United States dollars (US$100).

These limits do not apply to your obligation to pay fees you owe, to either party's liability for its own fraud or wilful misconduct, or to any liability that cannot be limited by law.

Each party must bring any claim within one year after the event giving rise to it, except where a longer period is required by law.

21. Indemnification

You will defend and indemnify us against any third-party claim, and against the resulting damages, settlements, and reasonable legal costs, arising from your Customer Data, your use of the Service in breach of these Terms or of any law, or your connection of a Portal you were not authorized to connect. We will tell you promptly about any such claim, let you control the defence, and cooperate reasonably with you. You may not settle a claim in a way that imposes an obligation or admission on us without our consent.

22. Changes to the Service and to these Terms

We develop the Service continuously and may add, change, or remove features. We will not make a change that materially reduces the core functionality of your paid Plan during a period you have already paid for, without offering you a pro-rated refund for the remainder of that period.

We may update these Terms. If a change is material, we will give you at least 30 days' notice by email or in the App before it takes effect, and the "last updated" date above will change. If you keep using the Service after a change takes effect, you accept the updated Terms. If you do not accept them, cancel before they take effect.

23. Governing law and disputes

These Terms are governed by the laws of the Commonwealth of Pennsylvania, United States, without regard to its conflict-of-laws rules. The United Nations Convention on Contracts for the International Sale of Goods does not apply.

Any dispute arising out of or relating to these Terms or the Service will be brought exclusively in the state or federal courts located in the Commonwealth of Pennsylvania, and each party consents to the jurisdiction of those courts. Either party may still seek injunctive relief in any court to protect its intellectual property or confidential information.

Before filing anything, please contact us. Most problems are faster to fix by email than in court.

24. General

  • Entire agreement. These Terms, together with our Privacy Policy and any order form or written agreement we sign with you, are the entire agreement between us about the Service, and replace any earlier discussions or proposals.
  • Assignment. You may not assign these Terms without our written consent, except to a successor of your business that is not a competitor of ours. We may assign them to an affiliate or to a successor in connection with a merger, acquisition, or sale of assets.
  • No waiver. If we do not enforce a provision, that is not a waiver of our right to enforce it later.
  • Severability. If a provision is held unenforceable, the rest stays in force and the provision is applied to the maximum extent permitted.
  • Force majeure. Neither party is liable for a delay or failure caused by something outside its reasonable control, including a failure of the internet, a cloud provider, HubSpot, or another third-party service.
  • Notices. We will send notices to the email address on your account, or show them in the App. Send notices to us at the email address below. Notices are effective when sent.
  • Independent parties. Nothing here creates a partnership, joint venture, employment, or agency relationship between us.
  • No third-party beneficiaries. These Terms are between you and us only.
  • Export and sanctions. You confirm that you are not located in, and will not use the Service in, a country or by a party subject to United States sanctions or export restrictions that would prohibit your use of it.
  • Government use. If you are a United States government entity, the Service is commercial computer software and the rights you receive are no greater than those in these Terms.
